Mark Bower will retire as chairperson of healthcare group Netcare at the end of September.

He will also step down as chairperson of the nomination committee and as a member of the audit, risk, remuneration and, social and ethics committees, also with effect from September 30, Netcare said in a statement on Tuesday.

Bower joined the Netcare board as an independent nonexecutive director in November 2015 and was appointed chairperson in January 2023.

“The board wishes to express its sincere gratitude and appreciation to Mr Bower for his dedication, outstanding guidance and wise stewardship, as well as his invaluable contributions over the past nine years and wishes him well in his retirement and his future endeavours,” it said.

The group also announced that Alex Maditse, an independent nonexecutive director, had been appointed as the lead independent director.

Maditse, who joined the Netcare board in June 2023, had made significant contributions to the group with his extensive business acumen and expertise, it said.

To ensure that the audit committee remained validly constituted, Ian Kirk, an independent nonexecutive director of the board, had been appointed as a member of the audit committee, effective September 30.

The group would make an announcement on the appointment of a new chairperson and the reconstituted board committees in due course.
